Tuned-Out Directors An important aspect of corporate governance is engagement. Are directors participating in meetings, and contributing their knowledge and expertise to board discussions? The results of Bank Director’s 2020 Governance Best Practices Survey, sponsored by Bryan Cave Leighton Paisner, indicates that a significant number of directors at depository institutions have essentially checked out during meetings. Sixty-one percent of the respondents indicate that most of their directors actively participate during meetings – but 36% say that only some directors are actively engaged.
